Does your board operate legally?

Are your meeting minutes taken properly?

Are your board policies ready for the new 990?

Over time and with frequent personnel changes, nonprofit boards can lose sight of the governance requirements in their Articles and bylaws and operate improperly. Many boards fail to periodically get a legal review of their governance documents and find themselves out of compliance with the law. The new Form 990 brings more transparency to nonprofit governance, but the policies and practices it spotlights are not the ones addressed by most board policies. How will you stack up? Why is this important?

Bring a copy of your Articles of Incorporation and any amendments, your current bylaws and board policies, and last year’s board and membership minutes to this interactive workshop where you will learn:

  • How governance practices correspond with governance documents
  • The most common mistakes in bylaws
  • What your minutes should include
  • What policies will help you present your best face on the governance sections of the new 990
  • When you might consider a professional “legal audit”

You may be surprised at the picture you have of your organization at the end of the day!

Join Cynthia Cumfer, the co-author of The Oregon Nonprofit Corporation Handbook and an attorney whose practice focuses solely on nonprofit organizations, for a lively and fun review of your governance documents and practices. Cindy has 30 years experience representing nonprofit organizations and has presented workshops to thousands of board members and nonprofit professionals.
